1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the AI video generation platform, software, applications, and website (collectively, the "Service") provided by IdeaGo ("Company," "we," "us," or "our"). By using the Service, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. Description of Service

Our Service is an AI-powered platform that enables users to create and generate video content ("AI Video Agent"). The features and limitations are described on our website and may change without notice.

4. User Accounts

You are responsible for your account and its security. Provide accurate information and notify us of any unauthorized use.

5. User Content & License

1. Your Content: You own the text, images, videos, and prompts you upload ("User Content"). You are solely responsible for it.
2. License Grant: To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, host, and process your User Content solely to provide, improve, and secure the Service for you. This includes technical processing for AI model operation.
3. AI Outputs: The videos generated by the AI based on your inputs ("Outputs") are considered your User Content. You acknowledge that similar Outputs may be generated for other users.
4. Confidentiality: We implement security measures, but cannot guarantee absolute security for your non-public User Content.

6. Copyright Policy

We respect the intellectual property rights of others. If you believe that any content on our Service infringes your copyright, please notify us specifically at legal@ideago.com with the subject line "Copyright Infringement".

7. Acceptable Use

You agree NOT to use the Service to:

1. Violate any law or infringe others' rights.
2. Create, upload, or share harmful, abusive, harassing, defamatory, obscene, sexually explicit, or infringing content.
3. Generate content for fraudulent purposes or to impersonate others (e.g., malicious deepfakes).
4. Reverse engineer, scrape, or overload our systems.
5. Use the Service to build a competing product.

8. Intellectual Property

We own all rights, title, and interest in the Service, including our software, AI models, and branding. You receive only a limited right to use the Service under these Terms.

9. Termination

We may suspend or terminate your access to the Service at our sole discretion, at any time, with or without cause and without notice.

10. Disclaimers

THE BETA SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT THE AI OUTPUTS WILL BE ACCURATE OR MEET YOUR EXPECTATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IDEAGO, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA OR CONTENT, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100).

12. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of the Service, your User Content, or your breach of these Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Singapore. Any dispute shall be finally resolved by binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC), conducted in English by a single arbitrator.

14. Changes to Terms

We may modify the Terms from time to time in which case we will update the "Last Updated" date at the top of the Terms. We will use reasonable efforts to attempt to notify you of any changes to these Terms that materially adversely impact you either via email or an in product notification. Your continued access or use of the Service after the modifications have become effective will be deemed your acceptance of the modified Terms. If you do not agree to the changes, you must stop using our Service. No amendment shall apply to a dispute for which an arbitration has been initiated prior to the change in Terms.
